Terms of use

Written to be read. If anything here is unclear, write to us and we will explain it rather than point at a clause.

Last updated 11 October 2026 · Applies to decalabs.ai and the products and services described on it

1. Who we are

DECA is a venture studio operated by Spacerunners, Inc. ("DECA", "we", "us"). In these terms, "you" means anyone who uses this website or buys anything described on it. By using the site or any of our services you agree to what is written here.

You can reach us at hello@decalabs.ai. Our registered company details and address are available on request and are included in every contract we sign.

2. Using this site

The site is provided as it is. We keep it accurate but some of what it shows, including the figures in the examples, is illustrative rather than a record of a particular customer. Anything presented as an example is labelled as one.

The words, images, code and designs on the site belong to us or to the people we licensed them from, except for the names and logos of other companies, which belong to them. You may quote and link to the site; you may not copy it wholesale or present it as your own.

3. Demand tests

A demand test means we create a name, a one-page website and advertising for an idea, put it in front of people who do not know you, and count how many of them take an action such as leaving an email address or paying.

What a test page says. Every page we publish for a test makes clear that the product is in development or in early access. We do not claim that something exists, is shipping, or is available to buy when it is not. Where a page takes money before a product exists, it says so plainly and the money is fully refundable until the product is delivered.

What we agree before it starts

  • The number. You and we agree, in writing, how many people taking the action would count as a pass. It does not change once the test is live.
  • The budget. Advertising spend is yours and is passed to the platforms at cost, with a minimum. We do not mark it up.
  • The window. Tests normally run for ten days from the day the advertising starts.

What you get

At the end you receive the page, the advertising that ran, what it cost, and how many people took the action, together with our reading of it. We may use anonymised, aggregate findings from tests to improve how we run them and to publish general results.

Tests run in public

  • The record is written first. At launch, before any number comes in, the agreed number, the days and how a signup is counted are written down and fingerprinted, so the line can be checked later and cannot move.
  • How a signup counts. A person counts once they confirm their address from the email they receive, and once per person. Throwaway inboxes, the same person under another spelling of their address, and bursts from one network are kept but not counted.
  • The scoreboard. Each test is shown on our public scoreboard while it runs and after it ends: the product's name and page, the agreed number, the days and the counted signups. Your own name and the addresses of the people who signed up are never shown. You can hide a test at any time from your project; a hidden test still counts toward the scoreboard's totals, without its name.

What we cannot promise

A test measures what a group of strangers did in a short window. It does not prove that a business will work, that the demand will hold, or that anyone will pay again. We make no guarantee about the outcome of a test or about what it predicts.

Advertising platforms have their own rules and may refuse, pause or remove advertising for reasons outside our control. If that happens we will tell you, adjust the approach, and where a test cannot meaningfully run we will refund the fee.

4. Builds and ownership

If an idea passes and you ask us to build it, we agree the scope in writing before starting. A build normally takes about a week from the point the scope is agreed.

  • You own it. On delivery and once you have paid in full, the code, the designs, the domain name and the accounts we opened for the product are yours. We assign the intellectual property to you.
  • No shares. On a fixed-fee build we take no equity in your company. If we ever propose building something together on different terms, that is a separate agreement, negotiated separately, and you are free to decline it.
  • Revenue share, where chosen. Where you choose to pay less up front in exchange for a share of revenue, the percentage, the period and the total cap are set out in the contract. Revenue is read from your payment processor so that we both see the same figure. You may buy out the remaining obligation at any time.
  • Our tools. We keep the general know-how, libraries and internal tools we use across our work. Nothing we keep prevents you from running, changing or selling what we built for you.

5. Reports and the shelf

A report is our research about an idea: where the signals came from, who appears to want it and what we would test. It is for you to read and use. You may act on it freely.

You may not resell, republish or redistribute a report, in whole or in substantial part, as a product of your own. Reports are sold for use by one person or one company.

An idea described in a report is not exclusive to you. Others may buy the same report and may pursue the same idea. Where we make an idea exclusive for a period, we say so explicitly at the point of sale.

6. Creator campaigns

A campaign is a fixed period, set for each campaign and shown on its brief, in which we invite creators to post about one product.

  • The pool and the floor. Each campaign has its own pool and a number of slots, published before it opens and not changed while it runs. The floor per post is the pool divided by the slots. When the campaign closes, the pool is split equally across the accepted posts, never more posts than slots, so each accepted post earns at least the floor.
  • Review. A member of our team reviews every submitted post. A post may be turned down only because it breaks the brief, because the traffic behind it shows signs of being bought or automated, or because the campaign had already closed. You are told which reason applies and what we saw.
  • Disputes. You have seven days from being notified to ask for another look, with a line on why. The post goes back for a second review, answered within two business days.
  • Counting. Views and activity are read from the platform for the campaign’s report; pay does not depend on them. A post must stay up for at least 30 days; one taken down sooner does not count.
  • Your content. You own what you make and may delete it at any time. By entering a campaign you grant us permission to view, count and quote your post for the purpose of running and reporting on that campaign. Using your post as paid advertising requires your separate written agreement and separate payment.
  • Payment. Earnings are sent by transfer on the Monday after the campaign closes, with the transfer reference. We may hold a first payment for up to seven days while we verify an account, and a payment needs your payout details and tax form on file.
  • Eligibility and honesty. You must be eighteen or over and use one account that belongs to you. Buying views, engagement or installs, or using automation to create them, ends participation and forfeits unpaid amounts. Where earnings have already been paid on activity we later find to be bought or automated, we may reclaim them.
  • Disclosure. You are responsible for complying with the disclosure rules of your country and platform for paid or incentivised content. Where a campaign requires a specific disclosure, the brief says so.

7. Investor materials

Nothing on this website is an offer to sell, or the solicitation of an offer to buy, any security, and nothing on it is investment, legal, tax or financial advice. Any investment opportunity is made available only to people who qualify under the applicable rules, only after we have verified that, and only through the offering documents of the specific company concerned. Where those documents differ from anything on this site, the documents govern.

Information we share about a product's demand test or its performance describes what happened in the past. It does not predict what will happen. Investments of this kind are illiquid, there is no market on which to sell them, and you should be prepared to lose the entire amount.

8. Payment, refunds and credit

  • Fees. Prices shown on the site are in US dollars and exclude taxes, which are added where they apply. Advertising budgets are separate from fees and are passed through at cost.
  • Reports. Because a report is delivered immediately, it is not refundable once opened. If it is plainly not what was described, write to us and we will refund it.
  • Tests. Before the advertising goes live you may give the idea back and the test returns to your plan; if you would rather have the money, write to us and that month’s fee is refunded. Once the advertising is live the fee is earned. Advertising money you do not spend stays in your wallet for your next test, or is refunded to your card on request. Where a test does not reach the agreed number, you receive a test credit, usable for twelve months.
  • Builds. Payment terms and any staged payments are in the build contract. Where we fail to deliver the agreed scope within the agreed time for reasons within our control, the contract sets out what happens.
  • Creator payments. As described in section 6.

9. What you agree not to do

  • Use our services for anything unlawful, or for products in categories we exclude, which include weapons, gambling, adult services, unlicensed financial or medical products, and anything designed to deceive.
  • Ask us to test or build something that infringes someone else's rights, and by asking you confirm the idea is yours to pursue.
  • Interfere with the site, scrape it at scale, or attempt to reach parts of it you have not been given access to.
  • Manipulate a test, a campaign or its measurement.

We may decline or stop work where any of these apply, or where continuing would put our advertising accounts, our partners or our reputation at risk. Where we stop work for a reason that is not your fault, we refund what has not been used.

10. Liability

We do our work carefully and we stand behind it. What we cannot do is take on the risk of your business. To the extent the law allows, we are not liable for lost profits, lost revenue, lost opportunity or consequential loss, and our total liability in connection with any service is limited to the fees you paid us for that service.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

11. Law and disputes

These terms are governed by the laws of the State of Delaware, United States, and the courts of that state have jurisdiction, except where the law of your own country gives you rights that cannot be removed by agreement, in which case those rights stand.

Before anything formal, write to hello@decalabs.ai. Almost everything is faster to fix that way.

12. Changes

We update these terms as the services change. The date at the top shows when. If a change materially affects something you have already bought, we will tell you directly and the version in force when you bought it continues to apply to that purchase.
